Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NIGALL event platform, websites, APIs, and related services (the “Services”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

NIGALL provides tools to create, discover, promote, manage, and attend events, including RSVPs, ticketing, communications, and optional modules (such as attendees, speakers, sponsors, vendors, exhibitors, volunteers, planner CRM, and talent management). Features available to you depend on your role, permissions, and subscription plan.

2. Eligibility and accounts

  • You must be legally able to enter a binding contract in your jurisdiction.
  • You must provide accurate account information and keep it up to date.
  • You are responsible for safeguarding your login credentials and for activity under your account.
  • You may not share accounts in a way that violates these Terms or circumvents plan limits.
  • Notify us promptly at support@nigall.com if you suspect unauthorized access.

3. Roles and responsibilities

Event hosts / organizers are responsible for:

  • Accuracy of event details, pricing, capacity, policies, and communications
  • Compliance with applicable laws for their events (including consumer, tax, advertising, and privacy rules)
  • How they collect and use guest data obtained through the Services
  • Fulfilling tickets, refunds, cancellations, and day-of operations they promise to guests

Guests / participants are responsible for providing accurate RSVP or registration information and complying with event rules set by the host.

NIGALL is a platform provider. Unless we expressly state otherwise, we are not the organizer of events listed on the Services and are not responsible for event quality, attendance, venue conditions, or host–guest disputes.

4. Acceptable use

You agree not to:

  • Violate any law or third-party rights
  • Post false, misleading, defamatory, or unlawful content
  • Harass users, spam, or abuse messaging and email features
  • Attempt to gain unauthorized access to the Services, accounts, or data
  • Scrape, reverse engineer, or overload the Services except as allowed by law or a written API agreement
  • Use the Services to process or solicit illegal payments or prohibited activities
  • Circumvent security, billing, or access controls

We may suspend or terminate accounts that violate these Terms.

5. Content and intellectual property

  • You retain ownership of content you submit (event copy, images, messages, portfolio items, and similar materials).
  • You grant NIGALL a worldwide, non-exclusive license to host, store, display, and transmit that content solely to operate and improve the Services.
  • You represent that you have the rights needed to submit the content and that it does not infringe others’ rights.
  • The NIGALL name, logos, software, and platform design are owned by NIGALL or its licensors and may not be used without permission, except as needed to use the Services.

6. Payments, fees, and subscriptions

  • Paid tickets, booths, sponsorships, and similar charges may be processed through Stripe.
  • Platform or processing fees may apply as disclosed at checkout or on our Pricing page.
  • Subscription plans unlock Tools Hub modules and features subject to plan terms and availability.
  • Prices, taxes, and fees may change; material changes will be reflected in the product UI or pricing materials.
  • Refunds for event tickets or organizer products are generally between the guest and the host according to the host’s published refund policy, except where law or Stripe/our systems require otherwise.

7. Third-party services

The Services may integrate with or display content from third parties (for example Stripe, email providers, mapping/geolocation services, Ticketmaster discovery listings, or optional AI providers). Those services are governed by their own terms and privacy policies. NIGALL is not responsible for third-party services outside our reasonable control.

8. Privacy

Our Privacy Policy describes how we collect and use personal information. By using the Services, you acknowledge that processing.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIGALL DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted availability, error-free operation, or that events will meet your expectations.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIGALL AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES OR ANY EVENT. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO NIGALL FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR, IF GREATER AND REQUIRED BY LAW, THE MINIMUM LIABILITY THAT CANNOT BE LIMITED).

11. Indemnification

You agree to indemnify and hold harmless NIGALL from claims arising out of your content, your events, your misuse of the Services, or your violation of these Terms or applicable law, except to the extent caused by NIGALL’s willful misconduct.

12. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure for us or others, or if we discontinue the Services. Provisions that by their nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive termination.

13. Changes to the Services or Terms

We may modify the Services and these Terms. We will post updated Terms on this page with a revised “Last updated” date. Continued use after changes become effective constitutes acceptance of the updated Terms. If you do not agree, stop using the Services.

14. Governing law

These Terms are governed by applicable laws of the jurisdiction in which NIGALL primarily operates the Services, without regard to conflict-of-law rules, unless mandatory consumer-protection law in your country provides otherwise.
